• Ensuring that submitting such information does not violate confidentiality obligations, intellectual property rights or other third-party rights.

Please do not submit information you are not permitted to disclose.

You retain ownership of the drawings, specifications and other technical content you submit. Ownership of that content does not transfer to SAGUY.

By submitting such content, you grant SAGUY a limited right to store, process, analyze and use it only as reasonably necessary to provide the requested website, sourcing, quotation and related services. This may include:

• AI-assisted analysis, where you use that functionality.
• Evaluating technical requirements.
• Searching inventory.
• Identifying potential sourcing solutions.
• Preparing RFQs or quotations.
• Sharing relevant technical information with selected manufacturers, suppliers or service providers where reasonably necessary to process the request.

This section is consistent with our Privacy Policy. SAGUY does not acquire unrestricted ownership or unrestricted commercial rights over customer drawings or technical content.

Information provided through the website is intended to assist sourcing and engineering workflows. It is not independently verified engineering information, and it may be incomplete, outdated or contain errors.

You must independently verify any information that is material to your application before relying on it.

The website uses AI-assisted tools. AI-assisted outputs may include:

• Drawing interpretation.
• Component identification.
• Material identification.
• OD, ID and wall thickness identification.
• Dimension and tolerance extraction.
• Calculated dimensions.
• Sourcing classifications.
• Inventory matches and near matches.
• Component or raw-material suggestions.
• Supplier or sourcing suggestions.

Such outputs may be incomplete, incorrectly interpreted or inaccurate, and are provided only as assistance. The original drawing, specification and approved engineering documentation remain the authoritative source.

You must verify AI-extracted or AI-calculated information before using it for engineering, purchasing, manufacturing, regulatory or quality decisions.

Dimensions calculated by the website — for example a wall thickness derived from OD and ID — are derived values and must be independently verified before use.

A calculated value displayed by the website does not constitute confirmation that the calculation, or the underlying dimensions, correctly represent your drawing or component.

• Search results are sourcing suggestions.
• A displayed product may be an exact match, an approximate match or a near match.
• Appearance in search results does not mean an item is interchangeable with, or suitable for, the requested component.
• You must verify material, dimensions, tolerances, condition, standards, certifications and all other relevant requirements before ordering.

SAGUY does not certify suitability merely because an item appears as a match.

Information or products shown on the website do not by themselves constitute confirmation of suitability for:

• Implantation.
• Direct or indirect patient contact.
• Biocompatibility.
• Sterilization.
• Medical-device manufacturing.
• A specific regulatory classification.

• Website prices, where displayed, are preliminary or indicative unless expressly stated otherwise.
• Submitting an RFQ is a request for commercial evaluation and does not create a contract.
• No binding supply obligation arises until confirmed through the applicable written SAGUY quotation, order confirmation, supply agreement or other written commercial confirmation.
• Quantities, pricing, delivery terms and other commercial conditions are governed by the applicable commercial document.

These Terms govern use of the website. Where SAGUY issues a specific quotation, order confirmation, supply agreement or other written commercial agreement, that document governs the applicable commercial transaction.

If there is a conflict between these website Terms and a specific written SAGUY commercial agreement regarding a transaction, the specific commercial agreement prevails for that transaction.

To the extent permitted by applicable law, the website and its digital functionality are provided on an "as is" and "as available" basis. SAGUY does not guarantee that:

• The website will always be available or uninterrupted.
• All website information will always be complete or current.
• AI or search results will be error-free.
• Every technical requirement will produce a suitable inventory or sourcing result.

To the extent permitted by applicable law, SAGUY is not liable for indirect, incidental, special or consequential losses arising solely from:

• Use of, or inability to use, the website.
• Reliance on unverified website information.
• AI-assisted outputs.
• Automated calculations.
• Inventory or sourcing suggestions.
• Temporary website interruption.

Nothing in these Terms overrides liability or obligations expressly accepted by SAGUY in a specific written quotation, order confirmation, supply agreement or other signed commercial agreement, and nothing excludes liability that cannot legally be excluded or limited.

You are responsible for claims or losses arising from:

• Uploading or submitting material you had no right to disclose.
• Infringement of third-party intellectual property or confidentiality rights caused by material you submitted.
• Unlawful use of the website.
• Material violation of these Terms.

• Unauthorized access to the website, admin areas or other users' information.
• Uploading malicious files or code, or unlawful content.
• Interfering with the operation or security of the website.
• Scraping or bulk extraction of inventory or technical data without permission.
• Attempting to access another user's information.
• Impersonating another person or organization.
• Any unlawful use of the website.

Normal professional use of the sourcing platform is of course permitted and expected.

Where the website links to external manufacturer, supplier or other third-party websites, those websites are controlled by their respective operators. SAGUY is not responsible for the content, availability or privacy practices of third-party websites.

SAGUY platform materials. The website design, software, databases, content, sourcing logic and other SAGUY-owned platform materials are owned by SAGUY or its licensors. You may not copy, scrape or redistribute them for commercial purposes without written permission.

Customer materials. Customer drawings, specifications and technical content remain owned by the customer or their respective owner. SAGUY claims no ownership of customer engineering content.

We may update these Terms of Use. The version published on this page, with its "last updated" date, is the version in force.

Inventory, website features and information may be updated, corrected, removed or changed over time, and access may be interrupted for maintenance or technical reasons.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in effect. Failure by SAGUY to enforce a provision on one occasion does not constitute a permanent waiver of that provision.

These Terms, together with our Privacy Policy and Cookie Policy, govern use of the SAGUY STOCK website.

They do not replace quotations, order confirmations, purchase-order agreements, supply agreements or other transaction-specific agreements, which remain separately applicable.

These Terms are governed by the laws of the State of Israel. Disputes relating specifically to use of the website are subject to the competent courts in Israel, unless otherwise agreed in writing. Jurisdiction provisions contained in separate commercial agreements are not affected.
